These Terms of Service ("Terms") constitute a binding legal agreement between you and RGP Labs ("Company," "we," "us," or "our"). By accessing or using the website at rgplabs.com (the "Site") or purchasing any products, you agree to be bound by these Terms in their entirety. If you do not agree, do not use the Site or purchase products.

1. Eligibility

You must be at least 21 years of age to use this Site or purchase products from RGP Labs. By placing an order, you represent and warrant that you meet this age requirement and that all information you provide is accurate and complete.

2. Product Use Restrictions

All products sold by RGP Labs are intended exclusively for in-vitro laboratory research use. Products are not intended for human consumption, veterinary use, or any therapeutic or diagnostic application. Products are not foods, dietary supplements, drugs, or cosmetics, and they have not been evaluated, approved, or authorized by the U.S. Food and Drug Administration (FDA) or any other regulatory agency.

RGP Labs is a chemical supplier. RGP Labs is not a compounding pharmacy or chemical compounding facility as defined under 503A of the Federal Food, Drug, and Cosmetic Act. RGP Labs is not an outsourcing facility as defined under 503B of the Federal Food, Drug, and Cosmetic Act.

The statements made within this website have not been evaluated by the US Food and Drug Administration. The products we offer are not intended to diagnose, treat, cure, or prevent any disease. Human/Animal Consumption Prohibited. Laboratory/In-Vitro Experimental Use Only.

By purchasing, you agree that you will use our products solely for lawful research purposes in compliance with all applicable federal, state, and local laws and regulations.

3. Orders and Pricing

All prices are listed in U.S. dollars. We reserve the right to change prices, modify product offerings, or discontinue products at any time without prior notice. An order is not binding until we have confirmed it via email. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, unauthorized activity, or violation of these Terms.

4. All Sales Final

Except as described in our Refund Policy, all sales are final. Products are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. RGP Labs makes no representations or guarantees regarding the suitability of any product for your specific research application.

5. Limitation of Liability

To the maximum extent permitted by applicable law, RGP Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or revenue, arising out of or related to your use of the Site or any products purchased, regardless of the theory of liability. Our total aggregate liability for any claim shall not exceed the amount you paid for the specific product giving rise to the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless RGP Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our products; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any misuse of products, including use for purposes other than in-vitro laboratory research.

7. Intellectual Property

All content on this Site — including text, graphics, logos, images, product descriptions, and software — is the property of RGP Labs or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

8. Account Responsibility

If you create an account on our Site, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles. Any disputes arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of such courts.

10. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

11. Force Majeure

RGP Labs shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, carrier delays, or utility failures.

12. Changes to These Terms

We may update these Terms at any time by posting the revised version on the Site. Your continued use of the Site after any changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
